McCain Foods Group Inc. (“McCain Group”) is the family holding company of McCain Foods Limited, the world’s largest manufacturer of frozen potato products and other frozen products. McCain Group was created as a mechanism to allow the operating company to function with input from the McCain family. The family holding company plays an important role in assisting the operating company in maintaining the family’s values and objectives and advising on other important matters.
Some of these significant matters include CEO appointments, long-term strategy, dividend policy, M&A and capital allocation. McCain Group is now seeking a General Counsel and Secretary to advise its Board. This individual will be responsible for supporting and guiding the Board of the holding company on a wide variety of matters.
Located either in downtown Toronto, ON or Florenceville, NB, with regular travel between these two locations, this is a unique opportunity as the responsibilities will be both legal and business in nature including, acting as the key legal advisor on all major business transactions, providing strategic and tactical advice to the Board, acting as the Secretary to the Board, advising on business trends, and dealing with shareholders’ enquiries. The person will report to the McCain Group’s Board.
The ideal candidate will have 15 – 20 years of broad legal experience with an emphasis on corporate/commercial and corporate governance matters, ideally gained from both a major law firm and a corporation. Experience in business or a business degree will be considered a strong asset. The ability to work independently and to take initiative will be essential to succeed in this role. As well, sound judgment, diplomacy and the ability to contribute at a strategic level is also mandatory. A down-to-earth personality, positive outlook and strong interpersonal skills will be necessary to succeed.
