To support this fast-growing company, the EVP, Legal, General Counsel and Corporate Secretary is beginning to build the legal team and is seeking a Corporate Legal Counsel. You will start by developing a thorough understanding of what the business does by visiting Dexterra’s various client sites and getting to know the business groups. Your work will then include taking an integral role in structuring, reviewing, negotiating and drafting commercial contracts, shareholder / JV agreements, management of litigation with external counsel and participating in other key corporate transactions, such as M&A and debt financing. Working closely with business groups, you will also be relied upon to build legal tools/resources, train operators on matters such as contractual negotiation and provide risk management advice, as well as to help prepare and co-ordinate Dexterra’s public company requirements. This position reports directly to the EVP Legal, General Counsel and Corporate Secretary and is located in Dexterra’s head office, in Toronto’s west end, currently with 3 days in the office.
The ideal candidate will have 4-7 years of M&A and corporate experience gained from a top-end firm or corporation. Strong negotiation, drafting and problem-solving skills will be required in order to succeed in this role. Any experience with M&A, commercial agreements and public company reporting (Canadian and/or US) will be seen as an asset. Self-motivation, decisiveness, excellent communication skills and the ability to build relationships will also be important. In addition, a practical and business centric approach to finding solutions will be mandatory as will an ability to juggle and prioritize competing matters and take initiative.
